Program Name: Churchflow Messaging Program
These Terms & Conditions govern your access to and use of Churchflow and any related services, applications, websites, APIs, and messaging capabilities (collectively, the "Service"). By creating an account, accessing the Service, or sending messages through Churchflow, you agree to these Terms.
If you are using Churchflow on behalf of an organization, you represent and warrant that you have authority to bind that organization to these Terms, and "you" and "Client" refer to that organization.
1. Acceptance of Terms
By using Churchflow, you agree to these Terms & Conditions and our posted policies, including our Privacy Policy. If you do not agree, you must not use the Service.
Churchflow provides messaging software that allows churches, nonprofits, and businesses to send SMS communications to their members, attendees, and customers.
You are responsible for ensuring your administrators, agents, and users comply with these Terms. You are liable for all activity under your account credentials.
2. Description of Service
Churchflow enables Clients to:
- Send SMS messages to opted-in recipients
- Manage contact lists
- Track message delivery
- Integrate with third-party systems
- Maintain regulatory compliance, including 10DLC registration requirements
Churchflow sends messages on behalf of Clients and does not originate messages for its own marketing to your recipients unless explicitly disclosed and consented to.
Churchflow may modify, improve, suspend, or discontinue features at any time for operational, security, legal, or business reasons. We will use commercially reasonable efforts to provide advance notice when practical.
3. SMS Messaging Program Details
Program Name: Churchflow Messaging Program
Program Description: Recipients receive SMS messages from organizations using Churchflow. Messages may include reminders, event notifications, updates, announcements, alerts, and other communications related to the organization.
Message Frequency: Message frequency varies by organization. Recipients may receive recurring messages depending on their subscription and engagement with the sending organization.
Message & Data Rates: Message and data rates may apply depending on the recipient's mobile carrier and plan. Churchflow is not responsible for carrier charges, surcharges, taxes, or third-party fees.
Delivery is subject to mobile carrier networks, throughput limits, carrier filtering, recipient device status, and other conditions outside Churchflow's control.
4. Opt-In and Consent
Clients must obtain proper, legally valid consent before sending messages. Recipients opt in directly through the Client's approved opt-in methods (for example, sign-up forms, keyword opt-in, or written consent).
Clients must maintain accurate records showing how, when, and from where consent was obtained, including message program disclosures and consent language as required by law and carrier requirements.
Churchflow may request evidence of consent at any time and may suspend messaging until sufficient proof is provided.
5. Opt-Out Instructions
Recipients may opt out at any time by replying:
- STOP to cancel
- HELP for assistance
After sending STOP, no further messages will be sent unless the recipient re-subscribes using a valid opt-in flow.
Clients must honor opt-out requests immediately and may not bypass, override, or suppress opt-out controls.

Support availability may vary based on business hours, service status, and support channel.
7. Client Responsibilities
Clients agree to:
- Comply with all applicable laws, including TCPA, CTIA guidelines, and 10DLC rules
- Obtain and maintain valid consent records
- Not send unlawful, abusive, deceptive, or spam messages
- Honor opt-out requests immediately
- Provide accurate registration, campaign, and business information to carriers and partners
- Use Churchflow only for lawful, authorized business and ministry communications
Churchflow reserves the right to review campaigns, request evidence of compliance, throttle traffic, reject content, or suspend accounts for suspected violations.
8. Prohibited Use
Clients may not use Churchflow to send:
- Spam or unsolicited messages
- Fraudulent or misleading content
- Illegal content
- Content promoting hate, violence, or unlawful conduct
Clients also may not use the Service to infringe intellectual property, distribute malware, interfere with networks, evade compliance safeguards, or impersonate any person or entity.
Any suspected illegal, abusive, or high-risk activity may be reported to carriers, regulators, and law enforcement as appropriate.
9. Payment & Subscription
Clients agree to pay subscription fees, messaging fees, taxes, carrier surcharges, and any other applicable charges associated with Service use.
Failure to pay may result in suspension or termination, including immediate message blocking where required by carriers or vendors.
Churchflow may update pricing with notice. Continued use after the effective date of updated pricing constitutes acceptance. Except where required by law or agreed otherwise in writing, fees are non-refundable.
10. Limitation of Liability
The Service is provided "as is" and "as available" without warranties of any kind, express or implied, including any implied warranties of merchantability, fitness for a particular purpose, title, non-infringement, and uninterrupted or error-free operation.
Churchflow is not liable for:
- Carrier delays, filtering, rejections, or network outages
- Message delivery failures beyond our reasonable control
- Indirect, incidental, consequential, special, exemplary, or punitive damages
- Loss of profits, data, revenue, goodwill, or business interruption
- Third-party acts, services, integrations, or infrastructure failures
To the fullest extent permitted by law, Churchflow's total aggregate liability for all claims arising from or related to the Service shall not exceed the total fees paid by Client to Churchflow in the three (3) months preceding the event giving rise to the claim.
Any claim must be brought within one (1) year after the cause of action arises, or it is permanently barred, except where prohibited by law.
11. Termination
Churchflow may suspend or terminate accounts for:
- Violation of these Terms
- Regulatory non-compliance
- Non-payment
- Abuse of the system
Clients may cancel their subscription at any time, subject to any minimum commitment period in their order, invoice, or agreement.
Upon suspension or termination, your right to use the Service ceases immediately. Sections that by nature should survive termination, including payment obligations, limitation of liability, indemnification, dispute terms, and legal protections, will survive.
12. Changes to Terms
We may update these Terms periodically by posting a revised version on our website. Continued use of the Service after updated Terms become effective constitutes acceptance of those changes.
If a change is required for legal, regulatory, fraud prevention, or security reasons, it may take effect immediately where permitted by law.
13. Governing Law
These Terms shall be governed by the laws of the jurisdiction in which Churchflow operates, without regard to conflict-of-law principles.
To the extent permitted by applicable law, you agree that any dispute arising out of or relating to these Terms or the Service will be brought exclusively in the competent courts of that jurisdiction, and each party submits to that venue and personal jurisdiction.
To the fullest extent permitted by law, each party waives any right to a jury trial and any right to participate in a class, collective, or representative action.

Additional legal protections: You agree to defend, indemnify, and hold harmless Churchflow and its affiliates, officers, directors, employees, and contractors from claims, damages, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from your use of the Service, your content, your campaigns, your violation of these Terms, or your violation of law or third-party rights.
If any provision of these Terms is held invalid or unenforceable, the remaining provisions will remain in full force and effect. Churchflow's failure to enforce any provision is not a waiver of that provision. These Terms, together with any signed order forms or written agreements, constitute the entire agreement regarding the Service and supersede prior discussions on the same subject matter.
